Terms of Use
These Terms of Use govern your access to and use of the CapitalXB Internal Helpdesk ("System"), an internal IT and operations support platform operated by CapitalXB Financial Services Private Limited ("CapitalXB", "we", "us", or "our"). By accessing or using the System, you agree to be bound by these Terms.
1. Scope and Eligibility
The System is accessible exclusively to authorised employees, contractors, and agents of CapitalXB ("Users"). Access is granted on a role-based basis and is subject to approval by an administrator. Unauthorised access is strictly prohibited and may attract disciplinary action and/or criminal liability under applicable law, including the Information Technology Act, 2000.
2. Permitted Use
You may use the System solely for:
- Raising, tracking, and resolving internal support tickets;
- Managing IT, HR, Finance, and Operations service requests;
- Accessing knowledge base articles relevant to your role;
- Participating in approval workflows assigned to you.
Any use of the System for personal purposes, commercial activity, or any purpose outside the scope of your employment duties is prohibited.
3. Account Responsibility
You are responsible for maintaining the confidentiality of your login credentials. You must not share your credentials with any other person. You must notify the IT administrator immediately if you suspect unauthorised access to your account. CapitalXB shall not be liable for any loss or damage arising from unauthorised use of your account.
4. Data and Confidentiality
All information submitted through the System, including ticket descriptions, attachments, comments, and approval decisions, is the property of CapitalXB and constitutes confidential business information. You must not disclose, copy, or use any such information outside the System without prior written authorisation.
The System may process sensitive categories of data, including HR-related requests, financial information, and compliance matters. You must exercise due care in submitting and handling such data in accordance with CapitalXB's data classification policy.
5. System Availability
CapitalXB will endeavour to maintain reasonable availability of the System during business hours (09:30–18:30 IST, Monday–Friday). Planned maintenance will be communicated in advance. CapitalXB does not warrant uninterrupted or error-free operation of the System and shall not be liable for any loss arising from unavailability.
6. Intellectual Property
All software, designs, content, and materials forming part of the System are the intellectual property of CapitalXB or its licensors. No rights are granted to you other than the limited right to use the System as described herein.
7. Prohibited Conduct
You must not:
- Attempt to gain unauthorised access to any part of the System or its underlying infrastructure;
- Introduce malware, viruses, or any harmful code;
- Use automated tools or scripts to scrape, overload, or disrupt the System;
- Misrepresent your identity or impersonate another user;
- Submit false, misleading, or fraudulent ticket information.
8. Monitoring and Audit
CapitalXB reserves the right to monitor, log, and audit all activities on the System for security, compliance, and operational purposes in accordance with applicable law, including the RBI IT Framework and applicable RBI circulars on cyber security. By using the System, you consent to such monitoring.
9. Termination of Access
CapitalXB may suspend or terminate your access to the System at any time, with or without cause, including upon cessation of your employment or engagement. On termination, you must immediately cease use of the System.
10. Limitation of Liability
To the maximum extent permitted by applicable law, CapitalXB shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of the System. CapitalXB's aggregate liability for any claim arising from your use of the System shall not exceed ₹10,000.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at Mumbai, Maharashtra.
12. Amendments
CapitalXB reserves the right to amend these Terms at any time. Continued use of the System following notification of any amendment constitutes acceptance of the revised Terms.
